1. Introduction

Welcome to Nisbaty, a professional platform connecting Project Owners, Buyers, and Lawyers in one integrated environment.

By registering, accessing, or using Nisbaty, you acknowledge and agree that you are bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations.

If you do not agree, you must immediately stop using the platform.

2. Definitions

For clarity, the following terms shall have the meanings assigned below:

  • “Platform” or “Nisbaty”: Refers to the Nisbaty website, mobile applications, systems, and related services.
  • “User”: Any individual or entity registered on the platform as a Project Owner, Buyer, Lawyer, or Staff.
  • “Project Owner”: A user who publishes projects or seeks buyers.
  • “Buyer”: A user who expresses interest in, or submits an offer to, purchase or collaborate on a project.
  • “Lawyer”: A licensed legal professional registered on the platform to provide services such as contract drafting, review, and legal advisory.
  • “Contract”: Any legal document drafted, reviewed, signed, or stored via the platform.
  • “Services”: Any functionality provided by Nisbaty, including project posting, offers, contracts, messaging, and payments.
  • “Admin” or “Platform Management”: Refers to the Nisbaty operators who manage, review, and oversee platform activities.

3. Eligibility and Registration

  • Users must be at least 18 years old and legally competent to enter into contracts.
  • Lawyers must hold valid licenses recognized by the applicable jurisdiction.
  • Registration requires providing accurate, truthful, and complete information.
  • Nisbaty reserves the right to request verification documents at any time (e.g., ID, trade license, registration).

4. User Obligations

Project Owners

  • Must provide complete and truthful details when posting projects.
  • Are responsible for the accuracy of all descriptions, budgets, and timelines.
  • Must honor agreements once an offer is accepted.
  • May not withdraw from a project without valid cause once a contract is signed.

Buyers

  • Must submit genuine offers and act in good faith.
  • Are responsible for ensuring timely payments upon acceptance of their offers.
  • Must comply with the legal terms of the contracts signed.

Lawyers

  • Must ensure all contracts and legal documents are compliant with applicable laws.
  • Are personally and professionally responsible for the accuracy of legal advice or documents.
  • May not misrepresent qualifications, licenses, or authority.

All Users

  • Must use the platform only for lawful purposes.
  • Must not engage in fraud, misrepresentation, harassment, or abuse.
  • Must keep login credentials confidential and secure.

5. Use of the Platform

  • Nisbaty provides digital tools for communication, project posting, contract facilitation, and payments.
  • Nisbaty is not a party to any agreement or contract between users.
  • Users are solely responsible for their interactions, negotiations, and contracts.
  • Nisbaty may suspend or terminate any account violating these Terms.

6. Contracts and Legal Framework

  • Contracts signed on Nisbaty are legally binding under the applicable laws.
  • Contracts may be signed electronically, in compliance with digital signature laws, or downloaded for physical signing.
  • Nisbaty does not guarantee the legal sufficiency of contracts and is not liable for disputes arising from their execution.
  • Lawyers, not Nisbaty, bear full responsibility for legal validity, accuracy, and enforceability of contracts.
  • All parties must retain copies of their signed contracts.

7. Payments, Subscriptions, and Fees

  • Payments are processed through secure gateways (Mada, Visa, Mastercard, Apple Pay, STC Pay, etc.).
  • Users must ensure sufficient balance and correct payment details.
  • Subscription fees are charged in advance and are generally non-refundable, unless otherwise stated.
  • Nisbaty reserves the right to adjust service fees, commissions, or subscription pricing with prior notice.
  • Any dispute related to payments must be reported to support@nisbaty.com within 7 working days.

8. Intellectual Property Rights

  • All content on Nisbaty (logos, software, text, graphics, designs, databases) is owned by or licensed to Nisbaty.
  • Users retain ownership of the content they post but grant Nisbaty a non-exclusive license to display it on the platform.
  • Unauthorized use, reproduction, or distribution of platform content is strictly prohibited.

9. Data Protection and Privacy

  • Nisbaty collects and processes user data as described in the Privacy Policy.
  • Sensitive data such as passwords and payment information is encrypted.
  • Users may request deletion of their personal data in compliance with applicable data laws.
  • Nisbaty may disclose user information if required by law or legal order.

10. Prohibited Activities

Users may not:

  • Post false, misleading, or defamatory content.
  • Circumvent the platform by conducting deals outside Nisbaty.
  • Use the platform for money laundering, terrorism financing, or unlawful purposes.
  • Hack, disrupt, or attempt to compromise the platform’s security.

Violations may result in account termination, legal action, and reporting to authorities.

11. Liability and Disclaimer

  • Nisbaty provides services “as is” without warranties of any kind.
  • Nisbaty does not guarantee project success, payment completion, or contract enforcement.
  • Nisbaty is not liable for damages, loss of data, business interruption, or disputes between users.
  • Users agree to indemnify Nisbaty against claims arising from their actions.

12. Dispute Resolution

  • Users are encouraged to resolve disputes directly.
  • Nisbaty may act as a neutral mediator but is not obliged to enforce any resolution.
  • Legal disputes shall be subject to the laws of the Kingdom of Saudi Arabia, and the competent courts shall have jurisdiction.

13. Suspension and Termination

  • Nisbaty may suspend or terminate accounts for violations of these Terms, fraudulent activity, or legal violations.
  • Users may terminate their accounts by submitting a written request, provided there are no outstanding obligations.

14. Amendments to the Terms

  • Nisbaty reserves the right to update or modify these Terms at any time.
  • Changes will be communicated via email or platform notifications.
  • Continued use of the platform constitutes acceptance of updated Terms.

15. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflicts of law principles.
